Abbey Mortgage Bank’s Private Placement Creates Five Major Shareholders

Abbey Mortgage Bank Plc has announced five new significant shareholders following the completion of its private placement of 26.56 billion ordinary shares.

The shares were issued at ₦2.43 each, meaning the transaction raised about ₦64.6 billion for the Bank.

In a notice to the Nigerian Exchange (NGX) and the investing public dated September 17, Abbey Mortgage Bank disclosed the holdings of the new significant shareholders.

Abdulganiyu Olajide emerged with the largest holding of 6.996 billion shares, representing 19.05% of the Bank.

He was followed by Adeola Herei Limited, with 6.784 billion shares (18.48%), and Archetype Energy Services Limited, with 6.333 billion shares (17.25%).

CardinalStone Asset Management Limited holds 4.012 billion shares, representing 10.93%, while Jotani Investment Limited holds 2.437 billion shares (6.64%).

Together, the five shareholders account for approximately 72.35% of Abbey Mortgage Bank’s shares, based on the percentages disclosed by the Bank.

The private placement significantly changes Abbey Mortgage Bank’s shareholder structure, with a small number of investors now holding substantial stakes in the Bank.

For existing and potential shareholders, the development is important because large shareholders can have significant influence over corporate decisions, depending on their rights and the Bank’s overall ownership structure.

The ₦64.6 billion raised also provides the Bank with additional capital following the private placement, although the announcement did not provide details on how the funds will be deployed.

Investors will now be watching for further disclosures on the Bank’s enlarged share capital, ownership structure, financial performance and how the new capital is used.
