Coronation Insurance Re-elects Directors and Approves Key Resolutions at AGM

Coronation Insurance Plc has concluded its 68th Annual General Meeting, with shareholders approving several resolutions covering the company's financial statements, board composition, auditors and corporate governance.

The AGM was held virtually on Thursday, September 24, 2026, at 10am.

Two directors re-elected

Shareholders re-elected Mr. Olusegun Ogbonnewo as a Non-Executive Director and Mrs. Titilayo Osuntoki as an Independent Non-Executive Director. Both directors had retired by rotation and were eligible for re-election.

Shareholders also approved the reappointment of Ernst & Young as the company's external auditors until the conclusion of the next AGM. The Directors were authorised to determine the auditors' remuneration for the year ending December 2026.

Audit Committee approved

The AGM also approved five members of the Statutory Audit Committee.

The shareholder representatives are Chinwendu Achara, Mary Joke Shofolahan and Adeniyi Adebisi, while the Board nominees are Stella Ojekwe-Onyejeli and Titilayo Osuntoki.

Related-party transactions mandate renewed

Shareholders also approved a General Mandate for recurrent related-party transactions involving the company and its related entities.

The mandate covers transactions that are revenue or trading-related or are necessary for the company's day-to-day operations. It will remain in effect until the next Annual General Meeting.

Finally, shareholders authorised the Directors to appoint an independent consultant to conduct the company's annual Board Performance Appraisal for the financial year ending December 31, 2026.
