Coronation Insurance Sets September 24 for 68th AGM

Coronation Insurance Plc will seek shareholders’ approval for the re-election of two directors and a general mandate covering certain recurrent related-party transactions at its 68th Annual General Meeting (AGM) on September 24, 2026.

According to the notice of meeting, shareholders will vote on the re-election of Olusegun Ogbonnewo as a Non-Executive Director and Titilayo Osuntoki as an Independent Non-Executive Director.

Shareholders will also consider the re-appointment of the company’s external auditors and authorise the directors to determine their remuneration for the 2026 financial year.

The meeting will receive the company’s audited financial statements for the year ended December 31, 2025, together with the reports of the Directors, Auditors, Board Evaluation Consultants and Audit Committee.

A key resolution will seek approval for a general mandate covering recurrent transactions involving the company and its related entities with related parties or interested persons. The mandate will apply where such transactions are revenue or trading-related or necessary for the company’s day-to-day operations, and will remain effective until the next AGM.

In line with NGX Rule 20.8(h), interested persons have undertaken to ensure that their proxies, representatives or associates abstain from voting on the related-party mandate resolution.

The company will also seek authority to appoint an external consultant to conduct its 2026 annual Board performance appraisal. Other resolutions include the election or re-election of members of the Statutory Audit Committee and disclosure of managers’ remuneration in accordance with the Companies and Allied Matters Act 2020.

The Register of Members and Transfer Books will close on September 10, 2026, allowing the registrar to prepare the list of shareholders eligible to attend and vote at the meeting.

The AGM will be held virtually at 10:00 a.m. on Thursday, September 24, 2026.
