Cutix Plc will hold its 43rd Annual General Meeting (AGM) today, Friday, August 28, 2026, with shareholders set to consider the company’s audited financial statements for the financial year ended April 30, 2026.
The meeting will take place at 11:00 a.m. at Anaedo Social Club Hall, 20 Ezenwegbu Road, Otolo, Nnewi, Anambra State.
A key item on the agenda is the presentation of the company’s audited financial statements, alongside the reports of the directors, external auditors and Audit Committee.
Two Directors Up for Re-Election
Shareholders will vote on the re-election of two Non-Executive Directors retiring by rotation: Ikechukwu Nwosu and Abayomi Olayinka.
The AGM will also feature the election of members of the Statutory Audit Committee and consideration of the remuneration of directors. Shareholders will further authorize the directors to determine the remuneration of the company’s auditors and disclose the remuneration of managers.
Related-Party Transaction Mandate
Another important resolution seeks to grant the Board and Management a general mandate to conduct qualifying transactions with related parties or interested persons.
The mandate would cover the procurement of goods and services, financing and other recurring transactions necessary for the company’s day-to-day operations, provided they are revenue or trading transactions conducted on normal commercial terms.
If approved, the mandate will remain valid until the company’s next AGM.
Cutix said the AGM will also be streamed live, allowing shareholders and other stakeholders unable to attend physically to follow the proceedings online.
The company has also reminded shareholders with unclaimed dividends to complete their e-dividend registration or contact its registrar, Crescent Registrars Limited.
