Learn Africa to Seek Approval for 35 Kobo Dividend at AGM

Learn Africa Plc will hold its 53rd Annual General Meeting (AGM) today, September 24, 2026, where shareholders will vote on a proposed 35 kobo dividend per ordinary share.

The meeting will take place at Pleasant Event and Services Centre, Ikeja, Lagos, at 11am.

One of the main items on the agenda is the declaration of a dividend following the company's financial year ended March 31, 2026.

The Board has recommended a 35 kobo dividend for every 50 kobo ordinary share. If shareholders approve the dividend, it is scheduled to be paid on September 25, 2026, to shareholders who were on the company's register at the relevant qualification date stated in the notice.

Shareholders to vote on board and audit matters

Shareholders will also consider the company's audited financial statements and the reports of the Directors, Auditors and Statutory Audit Committee.

Three directors — Mrs. Cordelia Ojeile, Mr. Frederick Ijewere and Mrs. Yetunde Aina — are retiring by rotation and have offered themselves for re-election.

The AGM will also consider the appointment of members of the Statutory Audit Committee, the remuneration of Non-Executive Directors for the 2026/2027 financial year, and the renewal of the company's General Mandate for Related Party Transactions.

Under the notice, interested parties will not be allowed to vote on the related-party transaction resolution.

What shareholders should watch

For investors, the key items are the 35 kobo dividend, the outcome of the directors' re-election, and approval of the other corporate resolutions.

The company will also stream the AGM online, allowing shareholders who cannot attend physically to follow the proceedings.
