Oando Plc has approved several resolutions that could expand the company’s activities beyond its existing operations, including entering the digital assets sector and pursuing a possible listing on other stock exchanges.
The resolutions were passed at the company’s 47th Annual General Meeting held on September 17, 2026, where shareholders also received the company’s 2025 audited financial statements.
Digital assets added to company objectives
One of the key resolutions was the approval of an amendment to Oando’s Memorandum of Association to allow the company and its subsidiaries to engage in activities involving digital assets.
The expanded objective covers activities including the development, ownership, financing, investment, issuance, operation, management and trading of digital assets and digital representations of value.
The company said these activities would be carried out subject to applicable laws and regulations and could involve digital, cryptographic and distributed-ledger technologies.
This does not mean Oando has launched a digital asset business yet. Rather, the amendment gives the company a broader corporate mandate to pursue such activities in the future.
Possible cross-border listing
Shareholders also authorized the Board to approve and pursue the listing of Oando shares on other stock exchanges, including through cross-border listings.
The Board was given authority to take the necessary steps and comply with the requirements of any relevant exchange, subject to obtaining regulatory approvals.
The resolution could give Oando flexibility to seek access to international capital markets, although the company did not specify which foreign exchange or exchanges it is considering.
Other AGM resolutions
Shareholders re-elected four directors who retired by rotation: Ademola Akinrele, SAN; Omamofe Boyo; Ikeme Osakwe; and Adeola Ogunsemi.
BDO Professional Services was also re-appointed as Oando’s auditor for the 2026 financial year.
Shareholders elected Anthony Omojola, Kolawole Kalejaiye and Rashidat Adeshina as their representatives on the Statutory Audit Committee, while Ikeme Osakwe and Ken Igbokwe will represent the Board.
The remuneration of the company’s Non-Executive Directors was also approved, remaining unchanged from the previous AGM.
The digital-assets amendment gives Oando a broader corporate framework for exploring opportunities involving blockchain and other emerging technologies.
The cross-border listing authorization could also provide the company with an option to access international investors and markets in the future.
However, neither resolution represents a completed transaction. Any digital-asset venture or foreign listing would still depend on the company taking further steps and, where required, obtaining regulatory approvals.
