N-Seven Nigeria Limited, the majority shareholder of Guinness Nigeria Plc, has acquired an additional 550,092 ordinary shares in the brewer in a fresh transaction worth approximately ₦202.1 million.
The shares were purchased on August 28, 2026, at varying prices with an aggregate average price of ₦367.40 per share, according to a director-dealing disclosure filed with the Nigerian Exchange on August 31. N-Seven is the investment vehicle through which Tolaram controls Guinness Nigeria.
The purchase adds to Tolaram’s already dominant position in the listed brewer. N-Seven held 1.552 billion Guinness Nigeria shares, representing 70.86% of the company, following completion of its mandatory takeover offer.
For investors, the latest acquisition is notable because it represents continued buying by the controlling shareholder after Tolaram completed its takeover of Guinness Nigeria. While the ₦202.1 million transaction is relatively small compared with the company’s overall market value, continued accumulation can reduce the shares available to other investors and potentially affect the company’s free-float dynamics.
The purchase also comes shortly after Guinness Nigeria reported strong first-half 2026 performance, with the company announcing additional dividend payments in July.
Investors will now watch whether N-Seven makes further purchases, particularly given its existing majority position, as well as Guinness Nigeria’s upcoming financial results and the implications of continued controlling-shareholder accumulation for the stock’s liquidity and valuation.
