Veritas Kapital Doubles Its Share Count With Fresh ₦15bn Capital Injection

Veritas Kapital Assurance Plc has added 15 billion new ordinary shares to the Nigerian Exchange following a ₦15 billion private placement, more than doubling its issued share capital from 13.87 billion to 28.87 billion shares. The additional shares were admitted to the NGX Daily Official List on August 20, 2026, at ₦1 per share.

The transaction gives the insurer fresh capital to strengthen its balance sheet and expand its underwriting capacity. Veritas has said the funds will support growth across retail and corporate insurance, technology investment and claims-paying capacity. The company is also positioning the enlarged capital base to meet the requirements of Nigeria's ongoing insurance-sector recapitalisation.

For shareholders, however, the enlarged share count creates an important trade-off. While the ₦15 billion injection provides additional financial capacity, the number of shares in issue has increased by more than 100%, meaning future earnings will be spread across a substantially larger share base.

Veritas reported ₦11.77 billion in insurance revenue in H1 2026, compared with ₦12.58 billion a year earlier, while its six-month profit attributable to the parent stood at about ₦29.4 million.

Investors should therefore watch whether the new capital translates into stronger underwriting growth, profitability and returns per share as the insurer enters the next phase of its expansion.
